Information to be provided to RTA, if holding shares in physical form
The Securities and Exchange Board of India (‘SEBI’) vide its circular dated 03rd November 2021 has made it mandatory for the shareholders holding securities in physical form to furnish PAN, KYC details and Nomination to the Registrar and Transfer Agent (‘RTA’) of the Company. In case of failure to provide required documents and details as per the aforesaid SEBI circular, all folios of such shareholders shall be frozen on or after 01st April 2023 by the RTA. In view of the above, shareholders of the Company holding securities in physical form shall provide following documents/details to RTA:
- PAN
- Nomination (for all eligible folios) in Form No. SH-13 or submit declaration to ‘Opt-out’ in Form ISR-3
Note: Any cancellation or change in nomination shall be provided in Form No. - Contact details including Postal address with PIN code, Mobile Number, E-mail address
- Bank Account details including Bank name and branch, Bank account number, IFS code
- Specimen signature

Extension of timelines (i) for nomination in eligible demat accounts and (ii) for submission of PAN, Nomination and KYC details by physical security holders; and voluntary nomination for trading accounts
SEBI vide its circular SEBI/HO/MIRSD/POD-1/P/CIR/2023/158 dated September 26, 2023 which can be downloaded from here has extended the deadline for submitting PAN, Nomination, Contact, Bank A/c details, and specimen signature for physical securities folio numbers to December 31, 2023, following representations from investors, Registrars Association of India, and stakeholders.
SEBI vide its circular SEBI/HO/MIRSD/POD-1/P/CIR/2023/158 dated September 26, 2023 which can be downloaded from here has decided to make the submission of ‘choice of nomination’ for trading accounts voluntary to ease business operations, and extend the deadline for demat accounts to December 31, 2023, based on representations from Exchanges, Depositories, Brokers’ Associations, and stakeholders.
Simplified norms for processing investor’s service requests by RTAs and norms for furnishing PAN, KYC details and Nomination
SEBI vide its circular SEBI/HO/MIRSD/POD-1/P/CIR/2023/181 dated November 17, 2023 which can be downloaded from here has amended its Master Circular for Registrars to an Issue and Share Transfer Agents dated May 17, 2023 to simplify norms for processing investor service requests by RTAs and furnishing PAN, KYC details and Nomination. The provisions for freezing and referring frozen folios to the administering authority under the Benami Transactions (Prohibitions) Act, 1988 and Prevention of Money Laundering Act, 2002, have been removed. The reference to the term freezing/freezing and referring folios by the RTA/listed company have been deleted.
